1. Share Purchase Agreement (SPA) vs. Asset Purchase Agreement (APA)

The first step is deciding on the acquisition structure. A Share Purchase Agreement transfers the entire corporate entity (including all liabilities, historical tax obligations, and litigation risk) to the new owner. An Asset Purchase Agreement allows the buyer to acquire specific assets, such as equipment, branding, leases, and customer databases, without taking on the corporate shell.
